Stephen Aspero Joins Our Real Estate Practice Group

We are pleased to announce that Stephen Aspero has joined Meislik & Meislik as Of Counsel. Steve’s broad range of commercial real estate law experience is primarily focused on commercial leasing for office, retail, and industrial space. He also has extensive experience in representing lenders and borrowers in connection with both secured and unsecured commercial loans, with a special expertise in AIA construction documents, complicated land title matters, easements, license agreements, and rights-of-way agreements. In connection with his active municipal land-use practice, Steve appears frequently before local zoning boards of adjustment and planning boards throughout the State of New Jersey. Steve previously served as Of Counsel to a large and prestigious New Jersey law firm.

Karen Abrams To Speak About Small Space Retail Leases

Karen Abrams is joining a small panel of experts on November 19, 2008 to discuss the issues that arise on each side of the small space retail lease. Her focus will be on the items that should be important to a tenant taking only a limited amount of space in a retail project and having limited bargaining power. She’ll speak about what is really important, what is achievable, and how to get the deal done. Lease negotiation is an art, and Karen will paint the big and small picture for those in attendance. The program, Retail Leasing For Small Business Tenants, will run from 12:30 pm until 4:00 pm at the New Jersey Law Center in New Brunswick. Further information can be obtained from Karen Abrams at .

Ira Meislik to Speak About Assignments and Subletting in Hollywood, Florida

Meislik & Meislik’s Ira Meislik will be a panel member and will present a paper at the October, 2008 Shopping Center Law Conference sponsored by the International Conference of Shopping Centers in Hollywood, Florida. The program will explore common and commons problems in retail lease assignments and subletting. The Shopping Center Law Conference, an annual event, draws over 1,300 attorneys and other shopping center law professionals and is the premier meeting of its type in the United States. Ira is a frequent speaker at statewide and national conferences, frequently presenting topics of interest in the area of Retail Real Estate Law. Karen Abrams to Present at ICSC Law Conference

Karen E. Abrams, a member of the Retail Real Estate Law team at Meislik & Meislik will be leading a Roundtable Workshop at the Shopping Center Law Conference sponsored by the International Conference of Shopping Centers on Friday morning, October 24, 2008. Her program, which will be held at the Diplomat Hotel in Hollywood, Florida will explore an often confusing and conflicted area: “First Rights” in leases. Often thought of solely in terms of “Rights of First Refusal,” Karen will lead a discussion about the variants to “First Refusal” rights, such as Rights of First Offer and Rights of First Negotiation.

She has extensive experience in crafting and negotiating commercial leases, representing local, regional, and national commercial landlords, tenants, and brokers with respect to both office and retail space. Ira Meislik is Contributor to Just Published Model Operating Agreement

The American Bar Association’s Section of Business Law’s quarterly law journal, The Business Lawyer, has just published (Volume 63, Number 2) a long-awaited Model Real Estate Development Operating Agreement with Commentary. This publication culminates a more than four year project to provide the legal community with a comprehensive model document that explores and examines the issues that arise in the drafting of limited liability company agreements. The published document is replete with commentary explaining and expounding upon nearly every one of its provisions. As such, it gives comprehensive guidance as to current limited liability, tax, and other relevent law and incorporates a myriad of drafting and crafting tips. Briefly speaking, it is framed around a complex, multi-use real estate development project with three hypothetical investors - a developer, a landowner, and a financial investor. Ira Meislik has participated as a major contributor to this project from the outset and expects that the publication of this Model Operating Agreement will provide a valuable tool to practitioners who are confronted with the need to structure entity documents for complex development projects.
